I hadn't seen it mentioned on this thread yet, but the latest versions
of Exchange will only work with Active Directory.  You can implement
Exchange without moving the entire corp over to Active Directory, but
you have to use some funky work-arounds.

In any case, you have to add Active Directory licensing to your list of
costs when implementing Exchange.  It's just another hidden cost for
doing business with Microsoft.
