actually the answer was to 
in the file /usr/src/redhat/SPECS/gfs-build.spec
edit line 79 and change
Requires: /lib/modules/%{kernel_version}smp
to be
Requires: /lib/modules/%{kernel_version}
and then 
rpmbuild -bs /usr/src/redhat/SPECS/gfs-build.spec
ran fine.

and yes, this older version of GFS works on the 2.4 kernel.
I have the gfs module and friends loaded fine. now I just gotta figure out the fence part.
